End-User License Agreement (EULA)

This End-User License Agreement ("EULA") is a legal agreement between you and 99Rated Ltd.

This EULA governs your acquisition and use of the 99Rated software ("Software") directly from 99Rated Ltd or indirectly through an authorized reseller or distributor ("Reseller").

Please read this EULA carefully before installing or using the 99Rated software. It sets out the terms under which you are licensed to use the Software and includes warranty information and liability disclaimers.

If you register for a free trial of the Software, this EULA will also apply to that trial. By clicking "accept," installing, or using the Software, you confirm your acceptance of these terms and agree to be bound by them.

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity and its affiliates to this EULA. If you do not have such authority, or if you do not agree with these terms, you must not install or use the Software.

This EULA applies solely to the Software provided by 99Rated Ltd, regardless of whether other software is referred to or described herein. These terms also apply to any updates, supplements, Internet-based services, or support services for the Software provided by 99Rated Ltd, unless other terms are supplied with those items.

License Grant
99Rated Ltd grants you a personal, non-transferable, non-exclusive license to use the Software on your devices in accordance with this EULA.

You may install and use the Software on devices under your control (e.g., PC, laptop, mobile, or tablet). You are responsible for ensuring that your device meets the minimum system requirements.

You are not permitted to:

• Modify, adapt, translate, decompile, disassemble, reverse engineer, or otherwise alter the Software, in whole or in part.
• Combine or incorporate the Software into other programs.
• Copy, distribute, resell, or otherwise use the Software for any commercial purpose.
• Allow third parties to use the Software on your behalf or for their benefit.
• Use the Software in violation of any applicable local, national, or international laws.
• Use the Software for any purpose that 99Rated Ltd deems to be a breach of this EULA.

Intellectual Property and Ownership
The Software remains the exclusive property of 99Rated Ltd. All intellectual property rights (including copyright and any modifications made) belong to 99Rated Ltd.

99Rated Ltd reserves the right to grant licenses to third parties.

Termination
This EULA takes effect when you first use the Software and remains in force until terminated. You may terminate it at any time by providing written notice to 99Rated Ltd.

This EULA will also terminate immediately if you fail to comply with any of its terms. Upon termination, you must immediately stop using the Software. Provisions that are intended to survive termination will remain in effect.

Governing Law
This EULA and any dispute arising from it shall be governed by and construed in accordance with the laws of [insert applicable jurisdiction, e.g., England and Wales].
